1. General

1.1 This End User License Agreement ("EULA") constitutes the contractual terms between you ("Licensee") and Light and Sound Ltd ("Light and Sound") for the use of the INCIRIOS® software, related plugins, media, and other digital tools developed by Light and Sound ("Product(s)").

1.2 By installing and registering INCIRIOS® on your computer, you accept and agree to abide by the terms of this agreement.

2. Registration

2.1 You must create an account and download the application to your computer to use INCIRIOS® or any related Product.

2.2 Registration requires an internet connection and the provision of your name and email address. This data is stored to identify you in our database. For more information about how your personal data is used, please see our Cookie Policy.

2.3 Your registration data will be shared with third parties if you purchase their software or plugins. By purchasing these products, you consent to this data sharing.

3. Scope of Use

3.1 Products developed by Light and Sound are protected by copyright law. The intellectual property rights of the Products remain with Light and Sound. Subject to the following terms and conditions, Light and Sound grants a single-user, non-sublicensable, non-transferable right to use the Product. The Product and any enclosed recordings remain the property of Light and Sound and are licensed to the single user for use as; part of a musical performance, live musical performance or recorded musical performance. The single user is not permitted to use these sounds in commercial and non-commercial uses except where combined with other sounds within musical compositions. Resale or distribution of these sounds is expressly forbidden by any method including, but not limited to; trading, sharing, re-sampling, mixing, re-mixing, processing, isolating, re-synthesising or embedding into software or hardware of any kind, as part of any commercial or free sample library of sound effect and/or musical samples and all forms of sound effect or musical sample playback systems or devices. The single user further agrees not to modify the enclosed product to circumvent or reverse-engineer any method or means adopted or implemented by Light and Sound. The single user is not permitted to grant downloading rights to another entity or individual. This license may not be transferred to any other entity or individual without prior written consent from Light and Sound. Light and Sound reserves all rights not expressly granted to the single user.

3.2 You may not use the Products simultaneously on more than one hardware device. If you change your hardware, you must delete all software from the previous device.

4. Third Party Rights

4.1 Light and Sound Products may contain content created or developed by third parties, which may be subject to additional intellectual property rights or be protected by copyright.

5. Final Provisions

5.1 If any part of this License becomes invalid or outdated, the remaining parts shall continue in effect.

5.2 This EULA is governed by the Sale of Goods and Supply of Services Act 1980, Republic of Ireland. However, customers residing in other territories can rely on applicable local laws relating to the Sale of Goods and Services.
